GaveFabrikken and Lomax to come under common ownership
GaveFabrikken's holding company has entered into an agreement to acquire Lomax, a well-established Danish supplier of office supplies to business customers. The agreement will bring two of Denmark's strongest players in corporate gifts and office supplies under common ownership, while each company will continue to operate independently with its own management, organisation and address.
GaveFabrikken is backed by Capidea, which acquired a majority shareholding in GaveFabrikken in 2024. Capidea will remain the lead shareholder. The acquisition of Lomax is being made through GaveFabrikken's holding company, making Lomax a sister company of GaveFabrikken. As part of the transaction the Lomax shareholders will reinvest in the structure, and the current shareholders of both companies will remain part of the ownership group.
Both companies serve business customers, but from different positions in the market. The long-term ambition is to build a group of independent brands in which each company retains its identity and market position while benefiting from being part of a larger group.
Completion of the transaction is subject to approval by the Danish competition authorities.
Plesner advised Capidea in connection with the transaction. Plesner's core team consisted of Henrik Rossing Lønberg, Martin Anton Svarrer, Jakob Echwald Sevel, Christian Cold, Hashim Iqbal, Gustav Holm, and Gustav Agerley Sjalin.
